Terms of use

Last updated 17 August 2026

These terms are the agreement between you and ReplyRep. By creating an account or using the service you accept them, so it is worth reading the bits that actually bite: acceptable use (section 4), what depends on Meta (section 5), and billing (section 8).

If anything here is unclear, email legal@replyrep.io and we will explain it in plain terms rather than quoting the clause back at you.

1. What ReplyRep is

ReplyRep is a subscription service that automates Instagram messaging on your behalf. You connect an Instagram creator or business account, tell us what to watch for (a keyword in comments, a story reply, a mention) and write the message people should receive. We then send those messages through Meta’s official Instagram API.

We build on Meta’s official Instagram API. We are not Meta, not Instagram, and not affiliated with them. Meta controls the API, its rate limits and its policies, and can change them without telling us in advance.

2. Who can use it

You may use ReplyRep if:

  • You are at least 18.
  • You own, or are authorised to act for, the Instagram accounts you connect.
  • Those accounts are Creator or Business profiles. Meta does not allow personal accounts to use the messaging API.
  • You are not barred from using the service under the laws that apply to you, and you are not on a sanctions list.

3. Your account

Keep your login details to yourself and tell us promptly if you think someone else has them. You are responsible for what happens under your account. We may suspend an account we reasonably believe has been compromised, and will tell you when we do.

4. Acceptable use

Automation is a sharp tool. These rules exist so your account stays in good standing with Meta and so the people on the other end are not spammed. You agree not to use ReplyRep to:

  • Message people who have not interacted with you first. ReplyRep only replies to comments, story replies, mentions and inbound DMs by design. Do not try to work around that.
  • Send unsolicited bulk marketing, chain messages, or anything that would be spam under the CAN-SPAM Act, PECR, GDPR or equivalent local law.
  • Break Meta’s Terms of Service, the Instagram Community Guidelines, or the Meta Platform Terms.
  • Impersonate anyone, or misrepresent an affiliation with a person or brand.
  • Promote anything illegal where you or your audience are, or run scams, phishing, or deceptive offers.
  • Harass, threaten or abuse people, or send sexual content to people who did not ask for it.
  • Scrape the service, reverse-engineer it, resell access, or run it through automated clients other than the ones we provide.
  • Attack the service: load testing without permission, probing for vulnerabilities, or trying to access other customers’ data.

If you break these rules we may suspend or close your account. Where the breach is not serious and can be fixed, we will normally warn you first.

5. Our dependence on Meta

ReplyRep only works because Meta grants API access. You should understand what follows from that:

  • Meta sets the sending limits. We pace your messages to stay inside them, which is why a very large spike is delivered over minutes rather than instantly.
  • Meta can restrict, suspend or remove API access, ours or yours, for reasons outside our control.
  • If Meta changes or withdraws an API, a feature that depends on it may change or stop working. We will tell you as soon as we can and, if a paid feature disappears for good, section 8 explains what happens to your money.

We cannot guarantee that your Instagram account will never be actioned by Meta. What we can say is that we use the official API, stay inside published rate limits, and only message people who contacted you first.

6. Your content and your data

You own the messages you write, the media you upload and the contacts you capture. You grant us a limited licence to host, process and transmit them purely so we can run the service for you. That licence ends when you delete the content or close your account.

You are responsible for having the right to send what you send, and for complying with marketing law where your audience lives. The privacy notice explains how the data is handled and who is responsible for what.

7. Our intellectual property

The ReplyRep software, brand, site and documentation are ours and stay ours. Your subscription is a licence to use the service, not a transfer of anything. You may not copy, modify or create derivative works from the software, or use our name or logo without written permission.

8. Plans, billing and price changes

Current plans and prices are on the pricing page. The free plan is free indefinitely and does not require a card.

  • Paid plans bill monthly in advance and renew automatically until cancelled.
  • Payment is taken by Stripe. If a payment fails we will retry and email you; if it keeps failing we may downgrade you to the free plan.
  • You can cancel any time from your dashboard. Cancellation stops the next renewal. It does not end the period you have already paid for, and you keep access until that period ends.
  • Prices quoted exclude VAT and sales tax unless stated. Where we are required to collect tax, it is added at checkout.
  • We may change prices. Existing subscribers get at least 30 days’ notice by email, and the change applies from the next renewal, never mid-period. If you do not accept it, cancel before it takes effect.

Refunds are covered by the refund policy.

9. Availability and changes to the service

We work to keep ReplyRep running, but we do not promise uninterrupted service and we do not currently offer a contractual uptime guarantee. We may add, change or remove features. If we remove something significant that you are paying for, we will give you notice and, if you cancel as a result, refund the unused part of your term.

10. Suspension and termination

You can close your account whenever you like. We may suspend or close an account that breaches these terms, that we are legally required to act on, or that is being used in a way that risks harm to other customers or to our Meta partnership.

On closure your automations stop immediately. You can export your data before closing, and we keep it for 30 days afterwards in case you change your mind, then delete it.

11. Disclaimer

The service is provided “as is”. To the extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free, that it will produce any particular commercial result, or that your Instagram account will never be restricted by Meta. Nothing here excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

12. Limitation of liability

To the extent the law allows, neither party is liable for indirect or consequential loss, loss of profit, loss of goodwill, or loss of data that the other party could have prevented by keeping its own copy.

Our total liability arising out of or relating to these terms is limited to the amount you paid us in the 12 months before the event giving rise to the claim, or £100 if you are on the free plan.

If you deal with us as a consumer, you keep any statutory rights that this section cannot lawfully limit.

13. Indemnity

You agree to cover our reasonable losses if a third party brings a claim against us because of the content you sent through ReplyRep, your breach of these terms, or your breach of a law or platform policy that applies to your messaging.

14. Changes to these terms

We may update these terms. The date at the top reflects the current version. For material changes we will email account holders at least 30 days before they take effect. Continuing to use ReplyRep after that counts as acceptance; if you do not accept, cancel before the change lands and we will refund the unused part of your term.

15. Governing law and disputes

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction, except that either party may seek injunctive relief anywhere to protect its intellectual property, and nothing here removes consumer protections that the law where you live says cannot be contracted out of.

Before starting proceedings, please email legal@replyrep.io. Most disputes are cheaper and faster to settle in an inbox than a courtroom, and we will engage in good faith for 30 days.

16. General

These terms, the privacy notice and the refund policy are the whole agreement between us. If a clause is found unenforceable, the rest stands. Not enforcing a right immediately does not waive it. You may not assign these terms without our consent; we may assign them as part of a merger or sale of the business.
